Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the ExpandPro workforce intelligence platform (the “Platform”), operated by Exitou, Inc. (“Exitou,” “we,” or “us”). By creating an account, accepting an invitation, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding agreement to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at legal@expandpro.ai of any unauthorized access.

3. Acceptable Use

You agree not to:

  • Use the Platform to violate any law, regulation, or third-party right.
  • Reverse-engineer, decompile, or attempt to extract source code from the Platform, except as expressly permitted by law.
  • Upload content that is unlawful, infringing, defamatory, or harmful.
  • Probe, scan, or test the vulnerability of the Platform or attempt to bypass authentication or rate limits.
  • Use the Platform to send unsolicited marketing communications or to harvest personal data outside of authorized engagements.

4. Customer Data and Confidentiality

Data you upload to or generate on the Platform (“Customer Data”) remains your property. You grant Exitou a limited license to host, process, and display Customer Data solely to provide the Platform to you and your authorized users. Aggregated, de-identified data may be used to improve the Platform and to publish industry benchmarks; no individually-identifying data is shared in those benchmarks.

5. Consultant Engagements

The Platform supports independent consultants delivering workforce-intelligence engagements to client organizations. Exitou is not a party to engagements between consultants and clients except as expressly stated in a separate consultant or client agreement. Revenue-share, hold periods, and payout terms are governed by the consultant agreement you accept upon onboarding.

6. Subscriptions, Fees, and Refunds

Paid features (including AILCN certification, recertification, and consultant subscriptions) are billed via Stripe. By providing payment information, you authorize Exitou to charge the applicable fees. Refunds are issued at our discretion and consistent with applicable law; certification fees are generally non-refundable once the program is initiated.

7. AILCN Certification Program

The AI Learning Consultant Network (“AILCN”) certification is governed by an honor-code curriculum. Maintaining the credential requires completion of the program and ongoing annual recertification. Exitou may suspend or revoke certification for violation of these Terms or the AILCN Code of Conduct.

8. Intellectual Property

The Platform, the AILCN curriculum, the 10-KPI methodology, the AILCN Way™ framework, and all associated trademarks, software, content, and documentation are owned by Exitou or its licensors and protected by copyright, trademark, and other applicable laws. No rights are granted to you by implication.

9. Disclaimers

The Platform is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied. Exitou disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law. Workforce-intelligence insights are advisory; you remain responsible for personnel and business decisions.

10. Limitation of Liability

To the fullest extent permitted by law, Exitou's aggregate liability under these Terms shall not exceed the fees paid by you to Exitou in the twelve months preceding the event giving rise to the claim. Exitou shall not be liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

You may cancel your account at any time. We may suspend or terminate access for violation of these Terms, non-payment, or as required by law. Upon termination, your right to use the Platform ceases; obligations that by their nature should survive termination (including intellectual property, indemnification, and limitation of liability) will survive.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page indicates the most recent revision. Continued use of the Platform after revisions constitutes acceptance of the updated Terms.
